These terms are an agreement between Acme Ltd (the legal notice gives its details) and the organization that creates an account (the "customer").
The service
Acme is an online service with a dashboard, an API and an MCP server. The customer stores items and files in it and reaches them through keys and connected AI agents. What each plan includes is on the pricing page.
Accounts
The person who creates an organization accepts these terms on its behalf and confirms that they may. Each member keeps their own sign-in safe and turns on two-factor authentication when the role requires it. The customer is responsible for what its members, its keys and its connected agents do.
Plans, credits and payment
- The free plan comes with a monthly allowance of credits. A paid plan is billed in advance, each month or each year, through Stripe.
- A call that writes costs credits, at the rates on the pricing page. A credit pack is paid once and its credits are used after the plan's monthly credits.
- Prices exclude VAT. An unpaid invoice may limit the organization's use until it is paid.
- The customer may cancel at any time from the billing page; the plan runs until the end of the period already paid.
Acceptable use
The customer does not use the service to:
- store or send content that is illegal, or that infringes someone else's rights;
- send spam, malware or attacks, or try to break the service's security or its limits;
- resell the service without our written agreement.
We may check sign-ups, sign-ins and content against abuse, through our provider openshield, and refuse or hold what breaks these rules. We may suspend an organization that breaks them, and we tell it why.
Data
Each party complies with data protection law. The data processing agreement covers the personal data the customer stores in the service, and the privacy policy covers the data we handle as controller.
Availability and liability
We provide the service with care, but without a guarantee that it never stops. Our liability for a year is limited to what the customer paid us in that year, except where the law forbids such a limit.
Ending
The customer may delete its organization from the settings. Its data is kept for a retrieval window and then purged. We may end these terms with 30 days' notice, or at once for a serious breach.
Law
These terms are governed by the law of the country where Acme Ltd is registered, and its courts have jurisdiction.
